1. Agreement
Propter Pty Ltd (ABN 72 688 584 821) (“Propter”, “we”, “us”, “our”) operates a property technology platform accessible at www.propter.com.au and through associated applications (the “Platform”).
These Master Platform Terms and Conditions (“Master Terms”) constitute a legally binding agreement (“Agreement”) between you and Propter governing your access to and use of the Platform and the services made available through it (“Services”). The Platform and Services are collectively referred to as the “Propter Platform”.
By accessing or using the Propter Platform, creating an account, or clicking “I agree” (or similar), you confirm that you have read, understood, and agree to be bound by these Master Terms, any product-specific terms applicable to your subscription, and our Privacy Policy. If you do not agree, you must not access or use the Propter Platform.
The Agreement between you and Propter commences on the date you agree to be bound by these Master Terms and continues until terminated in accordance with section 13.
2. About the Platform
2.1 What Propter does
Propter is an Australian property technology platform offering an integrated suite of tools and services for buyers, sellers, property owners, and real estate professionals. The Services available through the Platform may include:
- property search and discovery, including AI-powered search tools;
- property valuation tools and analytics;
- AI agents and AI voice agents (including the Maya voice agent) that real estate professionals may configure to engage with prospects and clients on their behalf;
- AUSTRAC AML/CTF compliance tools, including customer due diligence (CDD) workflows, Threshold Transaction Report (TTR) and Suspicious Matter Report (SMR) preparation and submission, AML/CTF program management, and agent training, designed to help real estate businesses meet their obligations under the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth) commencing 1 July 2026; and
- customer relationship management (CRM) and workflow tools for real estate businesses.
The specific Services available to you depend on your user type, your subscription, and the configuration of your account. Propter may add, modify, or remove Services from time to time.
These Master Terms govern Propter’s current Services as a software-as-a-service (SaaS) platform. Propter expects to introduce additional Services over time, including end-customer payment facilitation. Where additional Services are introduced, these Master Terms will be updated and customers will be notified in accordance with section 15.8.
2.2 Platform role and limitations
Propter operates a software-as-a-service technology platform. Propter is not a real estate agent, financial adviser, credit provider, or insurer, and does not act as agent for any buyer, seller, real estate agent, or other party to a property transaction.
Propter does not provide legal, financial, tax, or investment advice. Nothing on the Platform should be construed as such advice, and users should obtain independent professional advice before entering into any transaction.
Subscription billing
Subscription fees payable by customers to Propter for the use of the Services are processed by one of Propter’s payment partners — Stripe Payments Australia Pty Ltd (“Stripe”) or Zai Payments Australia Pty Ltd t/a Zai Australia (“Zai”) (each a “Payment Provider” and together the “Payment Providers”). When a customer provides bank account or payment card details for the purpose of subscription billing, those details are processed and stored directly by the relevant Payment Provider in a PCI DSS compliant environment. Propter does not store payment card details or bank account numbers. Propter receives a tokenised reference from the relevant Payment Provider to facilitate the recurring subscription billing of Propter’s own fees.
Subscription fees collected by a Payment Provider on Propter’s behalf are remitted to Propter’s nominated bank account in accordance with the relevant Payment Provider’s terms and the underlying banking arrangements. Propter does not hold customer funds in any Propter-controlled bank account; the funds are held by the relevant Payment Provider (and its banking partners) until they are remitted to Propter as Propter’s own subscription revenue.
Relationship between users
Propter is not a party to any contractual relationship between users of the Platform, including any contract of sale, agency agreement, or other arrangement between a buyer, seller, or real estate agent. Any agreement entered into between users through the Platform is solely between those users, and Propter accepts no liability for the performance of any such agreement.
2.3 AI-powered tools and AI agents
The Platform includes AI-powered features, including AI-powered search, AI-assisted valuation, AI agents, and AI voice agents (including the Maya voice agent) (collectively, “AI Tools”). AI Tools are powered in whole or in part by third-party large language model and AI service providers, which Propter may change from time to time.
(a) Nature of AI outputs. AI Tools generate outputs based on probabilistic models and may produce results that are inaccurate, incomplete, biased, or misleading. AI outputs (including any property valuation, search result, summary, transcript, recommendation, or response generated by an AI agent) are provided for informational and operational purposes only and do not constitute legal, financial, taxation, valuation, compliance, or other professional advice. You must independently verify any AI output before relying on it for any business, transactional, or compliance decision.
(b) Authorisation of AI agents. Where you configure or authorise an AI agent or AI voice agent (including Maya) to act on your behalf (for example, to make outbound calls, send messages, schedule appointments, follow up with prospects, or interact with clients), you direct Propter to operate that AI agent on your behalf and you are solely responsible for all actions, communications, representations, and outputs made by that AI agent. You must ensure that your use of any AI agent complies with all applicable laws, including the Spam Act 2003 (Cth), the Do Not Call Register Act 2006 (Cth), the Telecommunications Act 1997 (Cth), the Privacy Act 1988 (Cth), the Australian Consumer Law, and any state or territory laws regulating the recording of conversations.
(c) Disclosure to counterparties. You must disclose to counterparties that they are interacting with an AI agent where required by law or by applicable industry codes. Propter may, at its discretion, include automated disclosures or identifiers in AI agent communications to support compliance.
(d) Voice recording and consent. Calls made or received by AI voice agents may be recorded, transcribed, and processed for service operation, quality assurance, training of your account-specific configurations, audit, and compliance purposes. You are responsible for ensuring that all parties to a recorded call are notified, and have provided any consent required, under applicable Australian state and territory laws governing the recording of conversations.
(e) AUSTRAC compliance tools. The Platform’s AUSTRAC compliance tools are designed to assist real estate businesses to perform and document their own customer due diligence and reporting obligations under the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth). Where you use these tools, you (and not Propter) remain the reporting entity for AUSTRAC purposes and are responsible for the accuracy, completeness, and timeliness of any reports you submit (including TTRs and SMRs) and for the adequacy of your AML/CTF program. Propter facilitates identity verification and screening through Sumsub but does not certify, endorse, or guarantee the regulatory sufficiency of any individual customer file or report. Use of the AUSTRAC AML/CTF compliance tooling is governed by the AML/CTF Subscription Terms in addition to these Master Terms.
(f) Property valuations. Property valuation estimates generated by the Platform are produced by automated valuation models and are estimates only. They are not a substitute for, and do not constitute, a valuation provided by a licensed valuer. You must not rely on a Platform-generated valuation as the sole basis for any lending, investment, sale, purchase, taxation, or other decision.
(g) No warranty on AI output. To the maximum extent permitted by law, Propter makes no representation or warranty that AI outputs will be accurate, complete, current, fit for any particular purpose, or free from error or bias. Section 11 (Disclaimers and Limitation of Liability) applies to AI Tools.
2.4 Product-specific terms
The Platform offers a number of distinct products and services, including (without limitation) AUSTRAC AML/CTF compliance tooling, AI agents and AI voice agents (including the Maya voice agent), customer relationship management (CRM) tools, property search and discovery, and property valuation tools. Subscription to, or use of, a specific product or service is governed by these Master Terms together with any product-specific terms (including subscription terms, schedules, fee schedules, and acceptable use rules) applicable to that product (each a “Product-Specific Agreement”).
In the event of any inconsistency between these Master Terms and a Product-Specific Agreement in respect of a specific product or service, the Product-Specific Agreement prevails to the extent of the inconsistency in respect of that product or service. The Privacy Policy applies to all products and services.
The Product-Specific Agreements currently in force include the AML/CTF Subscription Terms, governing the AUSTRAC AML/CTF compliance tooling. Additional Product-Specific Agreements will be published as further products and services are released.
3. Eligibility
To access and use the Propter Platform, you must:
- be at least 18 years of age;
- have the legal capacity to enter into binding contracts;
- not be prohibited from using the Platform under any applicable law; and
- if registering on behalf of a business, organisation, or other legal entity, have the authority to bind that entity to these Master Terms and any applicable Product-Specific Agreement.
By accessing or using the Propter Platform, you represent and warrant that you meet all of the above requirements.
3.1 Verification disclaimer
Propter does not endorse any user and we do not assume responsibility for the confirmation or verification of any user’s identity beyond what is required for our regulatory obligations. Any references to a user being “verified” (or similar language) only indicate that the user has completed a relevant identity verification or registration process as required under our Customer Due Diligence Procedures. Any such description is not an endorsement, certification, or guarantee by Propter about any user, including the user’s identity, background, financial position, or whether the user is trustworthy, safe, or suitable. You should always exercise due diligence and care when deciding whether to transact with other users of the Platform.
Notwithstanding the above, for compliance, transparency, and fraud prevention purposes, and as permitted by applicable laws, we may, but have no obligation to:
- ask users to provide a form of government identification or other information, or undertake additional checks designed to help verify the identities or backgrounds of users; and
- screen users against third-party databases or other sources and request reports from service providers, including our identity verification and AML compliance partner Sum and Substance Ltd (trading as Sumsub) (“Sumsub”).
4. Account registration and security
4.1 Creating an account
You must register an account (“Account”) to access certain features of the Platform. If you are registering an Account for a business, organisation, or other legal entity, you represent and warrant that you have the authority to legally bind that entity and grant us all permissions and licences provided in these Master Terms.
When registering, you must provide accurate, current, and complete information and keep your Account information up to date at all times.
You may not register more than one Account unless expressly authorised by Propter. You may not assign or transfer your Account to any other person or entity.
4.2 Account security
You are responsible for maintaining the confidentiality and security of your Account credentials. You must not disclose your login details to any third party. You must immediately notify us if you know or suspect that your credentials have been compromised or that there has been any unauthorised use of your Account.
You are liable for all activities conducted through your Account, unless the activity was not authorised by you and you were not negligent in safeguarding your credentials (such as failing to report the unauthorised use or loss of your credentials).
4.3 Identity verification
We may, at any time, require you to verify your identity or provide additional information about yourself, your business, or beneficial owners and directors. This may include providing government-issued identification, business registration details, professional licences, or other documentation.
We conduct identity verification and screening as part of our obligations under anti-money laundering and counter-terrorism financing (AML/CTF) laws and our Customer Due Diligence Procedures. You consent to us collecting, using, and disclosing your personal information for these purposes, as described in our Privacy Policy.
If you do not provide the information or documentation we request within a reasonable timeframe, we may limit, suspend, or terminate your access to the Platform.
5. User types and specific obligations
5.1 Buyers and property owners
If you register as a buyer or property owner:
- you must provide accurate information about yourself and any property interests;
- you consent to identity verification (KYC) in accordance with our Customer Due Diligence Procedures;
- you agree to provide source of funds or source of wealth information if requested as part of enhanced due diligence; and
- you acknowledge that we may refuse to provide services if we are unable to satisfactorily verify your identity.
5.2 Real estate agents and agencies
If you register as a real estate agent or agency:
- you must hold a current and valid Real Estate Agent licence in the relevant Australian state or territory;
- you must provide your licence details, ABN, ACN, and such other information as we may reasonably require;
- you consent to entity verification (KYB) in accordance with our Customer Due Diligence Procedures, including verification of directors and ultimate beneficial owners (UBOs);
- you must notify us promptly if your licence is suspended, revoked, or subject to conditions;
- where applicable, you must comply with your obligations under the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth), including AUSTRAC enrolment requirements for real estate professionals commencing 1 July 2026;
- you must provide evidence of your AUSTRAC enrolment (or your agency’s enrolment, where applicable) on request, and you acknowledge that we may limit, suspend, or terminate access to AML/CTF features if enrolment cannot be confirmed; and
- your subscription to and use of the AUSTRAC AML/CTF compliance tooling is also governed by the AML/CTF Subscription Terms.
Propter does not act as a relied-upon entity within the meaning of the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth) unless a separate written reliance arrangement is in place between Propter and you. In the absence of a written reliance arrangement, you remain solely responsible for your own customer due diligence on customers introduced to you through the Platform, notwithstanding any verification information made available to you through the Platform.
5.3 Compliance with laws
You acknowledge and agree that you alone are responsible for ensuring that your use of the Platform and any transactions you enter into through the Platform comply with all applicable laws, regulations, licensing requirements, and professional obligations. Propter assumes no responsibility for your compliance with any applicable laws, rules, regulations, or obligations.
6. Services and fees
6.1 Services
The specific Services available through the Platform will be described on the Platform and may change from time to time. We reserve the right to modify, add, or discontinue any Service at any time, with reasonable notice where practicable.
6.2 Fees
We may charge fees for the use of certain Services (“Fees”). Any applicable Fees (including any applicable taxes) will be clearly disclosed to you before you commit to a transaction or subscription. Fees are stated in Australian dollars. The GST treatment of Fees (whether GST is included in or charged in addition to the listed Fee) is set out in the applicable Product-Specific Agreement or at the point of subscription.
We reserve the right to change our Fees at any time. We will provide you with adequate notice of any fee change before it takes effect. Your continued use of the relevant Service after a fee change constitutes acceptance of the new Fees.
You are responsible for paying any Fees that you owe to Propter. The applicable Fees are due and payable and collected by Propter in accordance with these Master Terms and the applicable Product-Specific Agreement. Except as otherwise provided on the Platform or in the applicable Product-Specific Agreement, Fees are non-refundable.
6.3 Taxes
You are responsible for any taxes (other than GST charged by Propter where applicable) applicable to your use of the Platform or transactions conducted through it.
7. Subscription payments
7.1 Subscription billing through Payment Providers
Subscription fees payable to Propter for the use of the Services are processed by one of Propter’s payment partners — Stripe Payments Australia Pty Ltd (“Stripe”) or Zai Payments Australia Pty Ltd t/a Zai Australia (“Zai”) (each a “Payment Provider”). The Payment Provider applicable to your subscription is the provider made available to you at the point of subscription. Propter may change the Payment Provider used to process your subscription, or migrate your subscription between Payment Providers, on notice to you. By subscribing to the Services, you agree to the relevant Payment Provider’s terms of service and privacy policy, and you authorise that Payment Provider to process subscription payments on Propter’s behalf.
When you provide bank account or payment card details for subscription billing, that information is processed and stored directly by the relevant Payment Provider in a PCI DSS compliant environment. Propter does not store your payment card or bank account details. Propter receives a tokenised reference from the relevant Payment Provider sufficient to facilitate recurring billing.
8. Intellectual property
All intellectual property rights in and to the Platform (including software, content, designs, branding, trademarks, and all derivative works) are owned by Propter or our licensors. Nothing in these Master Terms transfers any intellectual property rights to you, except as expressly stated.
Subject to your compliance with these Master Terms and any applicable Product-Specific Agreement, Propter grants you a non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal business purposes only. You must not copy, modify, distribute, sell, sublicense, or create derivative works of the Platform except as expressly permitted by Propter or by law.
9. User content
You may submit content to the Platform, including data, documents, communications, configurations, and other information (“User Content”). You retain ownership of your User Content. By submitting User Content, you grant Propter a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, modify (for technical purposes), and use User Content as needed to provide the Services to you, to comply with our legal obligations, and to operate, secure, and improve the Platform.
You are responsible for the accuracy, legality, and appropriateness of all User Content you submit. You represent and warrant that you have all necessary rights and consents to submit User Content, and that the User Content does not infringe any third-party rights or breach any law.
We reserve the right to remove or disable access to any User Content that we consider, in our sole discretion, to be in breach of these Master Terms or applicable law.
10. Prohibited activities
You are solely responsible for compliance with any and all laws, rules, regulations, and tax obligations that may apply to your use of the Propter Platform. In connection with your use of the Platform, you will not and will not assist or enable others to:
- breach or circumvent any applicable laws or regulations, agreements with third parties, third-party rights, or these Master Terms;
- use the Platform for any unlawful purpose or in any manner that falsely implies Propter endorsement, partnership, or otherwise misleads others as to your affiliation with Propter;
- provide false, inaccurate, or misleading information when registering or using the Platform;
- impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- use the Platform to facilitate money laundering, terrorism financing, fraud, or other financial crime;
- request, accept, or make any payment for services facilitated through the Platform outside of the Platform or outside of a Payment Provider’s payment infrastructure;
- copy, store, or otherwise access or use any information, including personally identifiable information about any other user, in any way that is inconsistent with our Privacy Policy or these Master Terms, or that otherwise violates the privacy rights of users or third parties;
- attempt to gain unauthorised access to the Platform, other users’ accounts, or any systems or networks connected to the Platform;
- access, tamper with, or use non-public areas of the Platform, Propter’s computer systems, or the technical delivery systems of Propter’s providers;
- attempt to probe, scan, or test the vulnerability of any Propter system or network, or breach any security or authentication measures;
- interfere with or disrupt the operation of the Platform or the servers or networks that host it, including by sending a virus, overloading, flooding, spamming, or mail-bombing;
- use automated tools (such as bots, crawlers, or scrapers) to access, monitor, or copy any part of the Platform without our prior written consent;
- systematically retrieve data or content from the Platform to create or compile a collection, database, or directory;
- use, display, mirror, or frame the Platform or any individual element within it, Propter’s name, any Propter trademark, logo, or other proprietary information, or the layout and design of any page, without Propter’s express written consent;
- forge any TCP/IP packet header or any part of the header information in any communication, or use the Platform to send altered, deceptive, or false source-identifying information;
- circumvent or attempt to circumvent any security, access control, or usage restrictions on the Platform;
- use the Platform to send spam, unsolicited communications, or promotional material;
- recruit or solicit any user to join third-party services or websites that are competitive to Propter, without Propter’s prior written approval;
- harass, threaten, defame, or discriminate against any other user on the basis of race, national origin, religion, gender, gender identity, physical or mental disability, medical condition, marital status, age, or sexual orientation;
- post, upload, or transmit any content that is fraudulent, false, misleading, defamatory, obscene, offensive, threatening, or that promotes illegal activities, violates any applicable law, or infringes any third party’s rights; or
- use the Platform in any way that could damage, disable, overburden, or impair the Platform.
11. Disclaimers and limitation of liability
11.1 General disclaimer
The Platform and Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Propter makes no representations or warranties of any kind, express or implied, regarding the Platform, including as to the accuracy, completeness, reliability, suitability, or availability of any information, content, or services.
Propter does not guarantee that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components. Propter may restrict the availability of the Platform or certain features if this is necessary in view of capacity limits, the security or integrity of our servers, or to carry out maintenance. Propter may improve, enhance, and modify the Platform and introduce new Services from time to time. You use the Platform at your own risk.
11.2 No professional advice
Nothing on the Platform constitutes legal, financial, tax, investment, valuation, or professional advice. Any information provided through the Platform (including property valuations, search results, and compliance tools) is for general informational purposes only and should not be relied upon as a substitute for professional advice. You should obtain independent professional advice before making any decision based on information obtained through the Platform.
11.3 Limitation of liability
To the maximum extent permitted by law, Propter’s total aggregate liability to you for all claims arising out of or in connection with the Platform or these Master Terms (whether in contract, tort, statute, or otherwise) is limited to the total Fees you have paid to Propter in the 12 months immediately preceding the event giving rise to the claim.
To the maximum extent permitted by law, Propter is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of business opportunity, or loss of goodwill, regardless of whether such damages were foreseeable.
11.4 Consumer guarantees
Nothing in these Master Terms excludes, restricts, or modifies any consumer guarantee or other right or remedy you may have under the Australian Consumer Law or any other law that cannot be excluded, restricted, or modified by agreement.
If any of our Services are subject to consumer guarantees under the Australian Consumer Law and those guarantees are not met, your remedies include, at our option: (a) in the case of services, the re-supply of the services or payment of the cost of having the services re-supplied; and (b) such other remedies as are required by law.
12. Indemnification
To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Propter and its officers, directors, employees, agents, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- your use of the Platform;
- your breach of these Master Terms or any applicable Product-Specific Agreement;
- your breach of any applicable law or regulation;
- any User Content you submit through the Platform; or
- your infringement of the rights of any third party.
13. Termination and suspension
13.1 Termination by you
You may terminate this Agreement at any time by sending us an email at support@propter.com.au. You can also delete your Account at any time by following the instructions on the Platform. Termination does not affect any rights or obligations that have accrued prior to termination, including any outstanding payments.
13.2 Termination or suspension by Propter
Without limiting our rights specified below, Propter may terminate this Agreement for convenience at any time by giving you 30 days’ notice via email to your registered email address.
Propter may immediately, without notice, terminate this Agreement and/or stop providing access to the Platform if: (a) you have materially breached your obligations under these Master Terms or any applicable Product-Specific Agreement; (b) you have violated applicable laws, regulations, or third-party rights; or (c) Propter believes in good faith that such action is reasonably necessary to protect the personal safety or property of Propter, its users, or third parties (for example, in the case of fraudulent behaviour).
In addition, Propter may take any of the following measures: (i) to comply with applicable law, or the order or request of a court, law enforcement, or other government body; (ii) if you have breached these Master Terms or any applicable Product-Specific Agreement; (iii) if you have provided inaccurate, fraudulent, outdated, or incomplete information; (iv) if we are unable to verify your identity or complete customer due diligence to our satisfaction; (v) if we reasonably suspect fraud, money laundering, terrorism financing, or other illegal activity; (vi) if your professional licence is suspended, revoked, or subject to adverse conditions; or (vii) if we are required to do so by a Payment Provider:
- limit your access to or use of the Platform;
- cancel any pending transactions;
- temporarily or permanently suspend your Account and stop providing access to the Platform; and
- refuse to process any further payments.
In the case of non-material breaches and where appropriate, you will be given notice of any intended measure by Propter and an opportunity to resolve the issue to Propter’s reasonable satisfaction.
13.3 Effect of termination
When this Agreement has been terminated, you are not entitled to a restoration of your Account or any of your User Content. If your access to or use of the Platform has been limited or your Account has been suspended or this Agreement has been terminated by us, you may not register a new Account or access and use the Platform through an Account of another user.
Upon termination:
- your right to access and use the Platform ceases immediately;
- any outstanding Fees remain payable;
- any pending transactions may be cancelled, completed, or reversed in accordance with our Refunds and Disputes process; and
- clauses that by their nature should survive termination of the Agreement will remain in effect, including sections 8, 11, 12, 14, and 15.
14. Privacy
We collect, use, and disclose your personal information in accordance with our Privacy Policy, which is available on our website and forms part of these Master Terms. By using the Platform, you consent to the handling of your personal information as described in the Privacy Policy.
As part of using the Propter Platform, you agree to use the services of, and share information with, Stripe Payments Australia Pty Ltd, Zai Payments Australia Pty Ltd t/a Zai Australia, and Sumsub, as described in our Privacy Policy. Services on the Platform are also supplied by third-party data providers.
15. General provisions
15.1 Governing law and jurisdiction
These Master Terms are governed by and construed in accordance with the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales and any courts which may hear appeals from those courts.
15.2 Entire agreement
These Master Terms, together with the Privacy Policy and any applicable Product-Specific Agreement, constitute the entire agreement and understanding between you and Propter in relation to your use of the Platform and supersede all prior oral or written understandings or agreements between you and Propter in relation to the access to and use of the Platform. In the event of any inconsistency between these Master Terms and a Product-Specific Agreement, the Product-Specific Agreement prevails to the extent of the inconsistency in respect of the product or service it governs.
15.3 Waiver
Waiver of any breach or provision of this Agreement must be in writing and signed by the party granting the waiver. A breach of this Agreement is not waived by a failure to exercise, a delay in exercising, or the partial exercise of any right or remedy available under this Agreement or in law or equity. Any right or remedy arising upon a breach of this Agreement is not waived by any failure to exercise or delay in the exercise, or a partial exercise, of that right or remedy.
15.4 Severability
These Master Terms do not and are not intended to confer any rights or remedies upon any person other than the parties. If any provision of these Master Terms is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.
15.5 Assignment
You may not assign or transfer your rights or obligations under these Master Terms without our prior written consent. Propter may without restriction assign, transfer, or delegate this Agreement and any rights and obligations hereunder, at its sole discretion, with 30 days’ prior notice. Your right to terminate this Agreement at any time remains unaffected.
15.6 No partnership or agency
No joint venture, partnership, employment, or agency relationship exists between you and Propter as a result of this Agreement or your use of the Platform.
15.7 Notices
Unless specified otherwise, any notices or other communications to users permitted or required under this Agreement will be provided electronically via email to the email address associated with your Account. For notices, the date of receipt will be deemed the date on which Propter transmits the notice.
15.8 Amendments
Propter reserves the right to modify these Master Terms at any time. If we make changes to these Master Terms, we will post the revised Master Terms on the Platform and update the “Last updated” date. We will also provide you with notice of the modifications by email at least 30 days before the date they become effective. If you disagree with the revised Master Terms, you may terminate this Agreement immediately. If you do not terminate your Agreement before the date the revised Master Terms become effective, your continued access to or use of the Platform will constitute acceptance of the revised Master Terms.
